Eric M. Marion

Mr. Marion has specialized in representing financial institutions since joining Silver, Freedman, Taff & Tiernan and its predecessor firm in 1998. His practice is focused on corporate and securities laws while assisting clients to effect mergers, acquisitions, equity offerings and mutual to stock conversions. Mr. Marion advises Boards of Directors and management on regulatory matters, corporate governance, executive compensation and employee benefit planning.

Mr. Marion has extensive experience preparing and submitting filings with various federal and state banking and securities agencies across the United States. He assists corporate clients with the preparation of both public and private debt and equity offering documents, representing issuers and underwriters in the transactions. Mr. Marion prepares blue sky surveys, state filings and applications with FINRA and the national securities exchanges.

For public companies, Mr. Marion assists Boards of Directors and management in complying with their fiduciary responsibilities to shareholders and the rules and regulations of the U.S. Securities and Exchange Commission (“SEC”). He actively engages with clients in the preparation and filing of quarterly, annual and current reports with the SEC. Mr. Marion guides his clients through the annual meeting process and their interactions with institutional and activist investors.

Mr. Marion has spoken before state banking organizations, including the Louisiana Bankers Association and Pennsylvania Association of Community Bankers (“PACB”). He has authored articles on current topics for publication in the magazine of the PACB.

  • Represented State Investors Bancorp, Inc., Metairie, Louisiana, in its $49.0 million stock acquisition by First NBC Bank Holding Company, New Orleans, Louisiana.
  • Represented State Investors Bancorp, Inc. and State-Investors Bank, Metairie, Louisiana, in its $29.1 million initial public offering of common stock.
  • Represented Quaint Oak Bancorp, Inc., Southampton, Pennsylvania in the design and implementation of stock based incentive plans.
  • Represented Home Federal Bancorp, Inc. of Louisiana, Shreveport, Louisiana, in its conversion from a mutual holding company to stock holding company and related $19.5 million common stock offering.
  • Represented Sterne, Agee & Leach, Inc. as underwriter’s counsel in an initial public offering up to $36.4 million by a Massachusetts mutual holding company.
